Subject to these Terms and active subscription, we grant you a limited, non-exclusive, non-transferable license to access and use Services for internal business purposes.
You retain ownership of data and information you provide to EcoPulses. By providing content, you grant us a license to use, process, and analyze such information to deliver Services.
Feedback, suggestions, or ideas provided to EcoPulses become our property and may be used without compensation or attribution.
EcoPulses strives to provide accurate, reliable renewable energy data through rigorous quality assurance processes. However, we do not guarantee absolute accuracy or completeness.
Platform data originates from third-party sources including system operators, utilities, and monitoring equipment. We are not responsible for source data errors or reporting delays.
Services are provided "as is" without warranties of any kind, express or implied, including merchantability, fitness for particular purpose, or non-infringement.
Users remain responsible for independent verification of data accuracy and suitability for specific applications. EcoPulses analytical outputs should not constitute sole basis for critical decisions without additional verification.
To the maximum extent permitted by law, EcoPulses shall not be liable for indirect, incidental, consequential, special, or punitive damages arising from service use, including lost profits, data loss, or business interruption.
Our total liability for any claims arising from Services shall not exceed the amount paid by you for Services during the 12 months preceding the claim.
Some jurisdictions do not allow certain liability exclusions. In such cases, our liability is limited to the fullest extent permitted by applicable law.
Subscription fees are specified in service agreements and invoices. All fees are in Canadian dollars unless otherwise stated.
Payment is due according to invoice terms. Late payments may result in service suspension and interest charges at 1.5% per month.
Subscriptions automatically renew unless cancelled according to agreement terms. We will provide renewal notices with pricing information.
Refund policies are specified in individual service agreements. Generally, subscription fees are non-refundable except as required by law.
You may terminate Services according to subscription agreement terms, typically requiring 30 days written notice prior to renewal date.
We may terminate Services immediately for Terms violations, non-payment, or illegal activity. We may also terminate with 30 days notice for convenience.
Upon termination, access rights cease immediately. You may request data export within 30 days. Provisions regarding confidentiality, intellectual property, and liability survive termination.
EcoPulses reserves the right to modify Services and these Terms. Material changes will be communicated through platform notifications or email. Continued use after changes constitutes acceptance of modified Terms.
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.
Disputes shall first be addressed through good-faith negotiation. If unresolved, disputes shall be subject to the exclusive jurisdiction of courts in Ottawa, Ontario.
To the extent permitted by law, disputes must be brought individually, and you waive rights to participate in class actions or representative proceedings.
These Terms, together with Privacy Policy and applicable service agreements, constitute the entire agreement regarding Services.
If any provision is found unenforceable, remaining provisions remain in full effect.
Failure to enforce any provision does not constitute waiver of that provision or any other provision.
You may not assign rights or obligations under these Terms without our written consent. We may assign Terms in connection with business transfers.
